We assist clients at every stage of complex mergers and acquisitions (M&A) transactions, from the preliminary assessment of the opportunity and the identification of the best strategy to the final negotiation of the financial terms. Our goal is to maximize the value of the company and maintain continuity in management operations.
In M&A transactions, we conduct due diligence, which is the review and verification process carried out prior to finalizing an acquisition or merger, with the aim of assessing the risks, opportunities, and economic and legal conditions of the transaction. It is conducted during the preliminary phase of the agreement, typically following the signing of a Letter of Intent (LOI), and serves as an essential tool not only for evaluating the viability of the transaction but also for defining its terms (e.g., price, payment terms, guarantees, earn-out clauses, or other ad hoc contractual provisions).
We work with a team of professionals, including external experts, who are capable of conducting the necessary M&A due diligence regarding various administrative, accounting, tax, legal, and labor law matters, along with the resulting assessments of potential risks associated with the transaction.
